A NV corporation or limited liability company that is formed by Corporate Nevada will come complete. They don't offer the do-it-yourself kits that others offer that you have to fill in the blanks for. These types of products don't always offer protection if you are attacked by a predatory attorney or creditor like those from Corporate Nevada. Your NV corporation ensures your business entity is professionally structured with the proper initial formalities fully drafted and ready for your signature. They also have no hidden costs since all the charges, including state fees, are included with the business entities.

With a fully formed NV corporation from Corporate Nevada you will get one year registered agent service in addition to certified articles and charter and a certified initial list of officers. Your NV corporation will include a Nevada State business license and a completed by-laws or operating agreement. Properly drafted minutes and resolutions authorizing initial actions of the directors to issue stock for capital, appoint officers and their acceptance, open bank accounts, issue proxies and more. It will also include a completed stock ledger, SS-4 for EIN, and a completed IRS form 2533 to elect sub-chapter 5.

In addition to their NV corporations, Corporate Nevada offers other services that include their Asset Management program. This program assists you in operating the financial aspects of your company correctly to complement the formalities. It helps negate commingling of funds, inappropriate personal expenditures and deductions, transactions, and more in order to prevent your entity from being considered your alter-ego. They also offer Shelf NV Corporations that are those that have aged. These come complete with their business package and can be upgraded to their Privacy or Ultimate Privacy packages upon request. They also offer a Registered Agent Service which supplies you with a person or other entity authorized to receive service of process and other official papers on behalf of a corporation.

Even if you live in another state, an NV corporation can benefit you tremendously. With a Nevada corporation, liability stops with the corporation. As an officer, director, or shareholder, you cannot be held responsible for lawsuits against your corporation except in a case of outright fraud. Thanks to Nevada statutes, it is nearly impossible to pierce the veil of an NV corporation regardless of where it conducts business. You will probably be required to qualify it as a foreign entity and be subject to taxes on income earned in the state that you are living in but it depends on the laws of your particular state. Entrepreneur's Creed

I do not choose to be a common person.
It is my right to be uncommon.
I seek opportunity -- not security.
I do not wish to be a kept citizen, humbled and dulled by having the state look after me.
I want to take the calculated risk, to dream and to build, to fail and to succeed.
I refuse to barter incentive for a dole;
I prefer the challenges of life to the guaranteed existence: the thrill of fulfillment to the stale calm of Utopia.
I will not trade my freedom for beneficence nor my dignity for a handout.
I will never cower before any earthly master nor bend to any threat.
It is my heritage to stand erect, proud and unafraid: to think and act for myself, to enjoy the benefit of my creations and to face the world boldly and say:
This I have done. For I am an entrepreneur.

Are You A Commingler?

If you are…there’s only one cure, separation! Always separate your safe assets like cash, intellectual property and stock portfolios, from dangerous assets like autos, heavy equipment, rental real estate, etc. For example, it is better to place expensive equipment critical to operations in an LLC and lease it back to the operating company. If the operating company is sued, the income producing equipment is not at risk of being seized in a judgment. Isolating dangerous assets, such as rental property, from one another is also a wise strategy.
