Renewals. The State of Nevada requires all entities to remain compliant until dissolved. All Legal Entities (LLCs & Corporations) have ongoing fees, required procedures, records and nexus. To "Do It Right" for Nevada compliance and full service nexus Corporate Nevada does not stop providing service after the first year, except for nonpayment or contract deficiency.
In addition to all the standard Headquarter's services, at renewal time Corporate Nevada will audit the Company ownership to verify entitlement to proxy vote within the prescribed statutory time, prepare the proxy vote and notice the meeting for the company, review for compliance prior to annual meeting and make any necessary changes, hold the annual meeting by proxy as prescribed, properly submit the state filings (multiples) in the correct timeline to avoid state penalties, memorialize the event in the official Nevada Company records and make records available as required by law.
Therefore, renewal fees will include all Headquarters services plus annual renewal but fees will be slightly lower secondary to no initial set up fee and one less annual filing fee with the State of Nevada. Although, there is additional work preparing and carrying out the annual meetings and filings Corporate Nevada does not charge more for its standard Headquarters Service. Current standard Headquarters renewal is $1,625.00 including all fees. (Fees subject to change by the State of Nevada without notice.)
Be aware if you are dealing with promoters that are quoting a much larger initial fee than the subsequent annual fees. In that case, you are buying a commission generated Self-Help program which will not have essential annual records, compliance or nexus provided & may negate your strategy.
There are always required procedures, records and nexus. The question is, will they be properly established and maintained in Nevada where it is in your best interest or by default with the courts and tax authorities in
other states where it is typically in their best interest?
